1. Agreement to these terms

These Website Terms of Use (“Terms”) govern your access to and use of the website at www.offlineprotocol.com and its subpages, including the documentation served at /docs (the “Site”). The Site is operated by Offline Protocol, Inc. (“Offline Protocol”, “we”, “us”, “our”), a Delaware corporation. By using the Site, you agree to these Terms and to the Acceptable Use Policy. If you do not agree, do not use the Site.

If you use the Site on behalf of an organization, you confirm that you are authorized to accept these Terms for it.

2. Products are governed by other terms

These Terms cover the Site only. Our products have their own terms:

• The developer portal at dev.offlineprotocol.com, the Offline Protocol CLI, the hosted MCP server at mcp.offlineprotocol.com, and hosted services such as OfflineID, the relay, telemetry, and Proof of Location are governed by the Developer Terms of Service.
• The Offline Protocol mesh SDK is licensed under AGPL-3.0-only or under a commercial license from us, and the OfflineID and Proof of Location client packages are licensed under MIT or ISC. The license you receive each package under governs your use of it.
• The Fernweh and MINE apps are governed by their own terms and privacy policies, published on their websites and in the apps.
• Purchases from our shop at shop.offlineprotocol.com are governed by that store’s terms.

Pricing, plan, and product descriptions on the Site are summaries for information. Booking a call, submitting the contact form, or requesting information does not create a contract or an entitlement to any product, price, or service. A signed agreement or your acceptance of the Developer Terms does.

3. Information on the Site

Content on the Site is general information. It is not professional, legal, security, or engineering advice.

The Site may show metrics, such as network size, device counts, downloads, or coverage, and plans for future products. Metrics are estimates or point-in-time measurements and may be rounded or change without notice. Roadmap items are goals, not promises, and may be delayed, changed, or dropped.

Interactive features on the Site, such as the sandbox, the browser mesh demo, and the network map, are demonstrations. We provide them as is and may limit, reset, or remove them at any time.

4. Acceptable use

You agree to follow the Acceptable Use Policy. In particular, you may not:

• Use the Site in violation of any law
• Attempt to gain unauthorized access to the Site or any connected system
• Interfere with, overload, or disrupt the Site, including by denial-of-service attempts
• Probe, scan, or test the Site for vulnerabilities except under our responsible disclosure policy
• Use bots or scrapers in a way that burdens our infrastructure or ignores our robots directives
• Submit false, abusive, or spam content through the contact form or scheduling tools
• Copy or republish substantial portions of the Site without permission, except as Section 5 allows

5. Intellectual property

The Site and its content, including text, graphics, logos, design, and code, are owned by Offline Protocol, Inc. or its licensors. We grant you a limited, non-exclusive, revocable license to view and use the Site for your own information and evaluation. Code samples in the documentation may be used to build with Offline Protocol products. All other rights are reserved.

“Offline Protocol”, “Fernweh”, “MINE”, “OfflineID”, and the related names and logos are trademarks of Offline Protocol, Inc. You may use them only to refer accurately to our products, and not in a way that suggests endorsement.

Some materials on the Site, such as open-source components, map data, or fonts, are provided under their own licenses, which govern your use of them.

If you send us feedback or suggestions, we may use them without restriction or obligation to you.

6. Third-party services

The Site links to and uses third-party services, including Mintlify for the documentation, Calendly for scheduling, Web3Forms for the contact form, OpenFreeMap for map tiles, GitHub, npm, LinkedIn, and X. We do not control those services and are not responsible for them. Their own terms and privacy policies apply when you use them.

7. Privacy

Our privacy policy and cookie notice explain what information the Site collects and your choices.

8. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ITS CONTENT IS COMPLETE OR CURRENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFLINE PROTOCOL, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, USE, GOODWILL, OR PROFITS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow these exclusions or limitations, so some of them may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

These Terms are with Offline Protocol, Inc. only. To the maximum extent permitted by law, its officers, directors, employees, contractors, agents, and affiliates have no personal liability to you arising out of or relating to the Site, and you will bring any claim only against Offline Protocol, Inc.

10. Indemnification

You agree to defend, indemnify, and hold harmless Offline Protocol, Inc. and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or connected with your use of the Site or your violation of these Terms or of any applicable law or third-party right.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Except where the law of your country of residence gives you the right to bring proceedings where you live, disputes arising out of or relating to the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Either party may seek injunctive relief to protect its intellectual property in any competent court.

12. Changes and general terms

We may update these Terms. We will post the new version here and update the date above. Changes apply from the date they are posted. If you keep using the Site after that, the updated Terms apply.

These Terms, the Acceptable Use Policy, and the privacy policy are the entire agreement between you and us about the Site, and supersede any prior understandings about it. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them without restriction. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, outages, or failures of third-party services.
